SBI to shut down 47% of associate banks' offices post-merger-The Total Investment & Insurance Solutions

State Bank of India (SBI), which will see five associate banks merge into it on April 1, has decided to shut down almost half the offices of these banks, including the head offices of three of them. This process will start from April 24. The Total Investment & Insurance Solutions

"Out of the five head offices of the associate banks, we will retain only two. Three head offices of the associate banks will be unbound along with 27 zonal offices, 81 regional offices and 11 network offices of the associate banks," SBI Managing Director Dinesh Kumar Khara told IANS in an interview. "We will keep their structure in place till April 24 and, post that, we will start dismantling the associate banks' controlling offices, which includes head offices, regional offices, zonal offices and network offices," Khara said.

The five associate banks that will merge with SBI are: SBBJ (State Bank of Bikaner and Jaipur), SBM (State Bank of Mysore), SBT (State Bank of Travancore), SBP (State Bank of Patiala) and SBH (State Bank of Hyderabad). The Total Investment & Insurance Solutions
SBI is India's largest bank with assets of Rs 30.72 lakh crore and figures at No. 64 in the global ranking of banks (as of December 2015; December 2016 ranking is still awaited). Post-merger, with assets of approximately Rs 40 lakh crore, it will be among the top 50 banks in the world. The shur-down move is to avoid overlapping offices in the same area and "we intend to remove any kind of duplicacy in the controlling structure", Khara said.

The five associate banks will cease to exist as legal entities and become a part of SBI from April 1, but the various merger processes will start only after April 24, once the balance sheets of the five entities are audited and added. The Total Investment & Insurance Solutions

"We will have to get the balance sheets of the associate banks audited a day prior to the merger, that is, on March 31. The balance sheets of the banks will be drawn up and added; it takes 15-20 days. Soon after the audit is done, the branches will be completely merged with SBI," Khara told. There are currently 550 SBI offices while its associate banks have 259. The target for the number of controlling offices after the merger is 687 -- a reduction of 122 offices.

Employees directly affected by these shutdowns -- estimated at 1,107 -- will be redeployed, mostly in customer-interface operations, Khara said.

"The net result is that people in controlling functions will be available for deployment on the ground for improving reach to the consumer," he said.

"There are about 5-7 people in every regional office and 20-odd people in each zonal office. One regional office controls 30-40 branches, while 4-5 regional offices are controlled by one zonal office," he told. The Total Investment & Insurance Solutions

The associate banks have also offered a Voluntary Retirement Scheme (VRS) to employees who do not wish to relocate. "VRS is only an option, else they will be relocated. They will have a different role," he said. The Total Investment & Insurance Solutions

Along with the winding-up of these offices, a number of merger processes will come into effect simultaneously, including the data merger of the five entities.

"Data merger will also start from April 24 and we will finish it by May end. That is the plan of action," he said, adding that the bank had given itself six months to complete all merger-related processes. The Total Investment & Insurance Solutions

"I would rather say that within a quarter all the things should be in order. Ideally, we would like to have it in one quarter, but it will not spill over beyond the second quarter," Khara said.


SBI says the merger will be done seamlessly as it has the experience of two earlier mergers. State Bank of Indore was merged with SBI in 2010, while State Bank of Saurashtra was merged in 2008.The Total Investment & Insurance Solutions

Global rating agency Moody's Investors Service on Tuesday said that as a fall-out of demonetisation, the Non-Banking Financial Companies (NBFCs) will come under pressure for the next six months. The Total Investment & Insurance Solutions

"NBFCs in India will demonstrate broadly stable asset quality, but delinquencies will likely rise over the next one-two quarters, as demonetisation adversely affects collections across asset classes," Moody's Investors Service said in its latest report released here.

"It will add to the short-term adjustment pressure on India's non-bank finance companies, but will not derail their growing franchise," Moody's added. 

The report is titled 'Indian Non-Bank Finance Companies (NBFCs): Balancing Strong Growth with Rising Risks'. The Total Investment & Insurance Solutions

Over the past three years, the NBFCs have gained some market share in the origination of retail lending, on the back of the faster growth exhibited by such entities when compared to the banks. 

This is particularly the case when compared to public sector banks, which face significant challenges on their asset quality and overall solvency profiles.

"Nevertheless, we expect that competitive pressures from the banking sector will remain intense as banks are increasing targeting of the retail segment to offset weakness in their corporate lending," Alka Anbarasu, Moody's Vice President and Senior Analyst, said.

Moody's conclusion is despite the fact that -- in line with the global trend -- the funding and liquidity profiles of Indian NBFCs present key downside risks, particularly because of their dependence on confidence-sensitive market funding.

Moody's said that the NBFCs will maintain well-matched asset-liability profiles -- despite their weak funding profiles -- a situation which will protect them against downside risks.

"The performance of individual NBFCs varies widely, even as the sector as a whole shows better performance when compared to the banks. Airlines that fly from certain countries in the Middle East and Africa to the US must soon require passengers to check in almost all electronic devices rather than carry them into the cabin, a US official has said. The Total Investment & Insurance Solutions

The official said this will impact some airlines flying into the US, while another administration official specified that this covers devices larger than a cellphone, CNN reported on Monday.

An aviation official told CNN that there is a security concern regarding passengers boarding non-stop flights to the US from specific countries. This relates to the "screening in (some) countries" for such non-stop flights to the US. The Total Investment & Insurance Solutions

They added that they believe a threat to the US would be negated if a passenger transferred through a secondary city with additional and more trustworthy screening procedures. 

The directive is to ensure enhanced security measures at select airports for a limited duration.

In a written statement, the Department of Homeland Security said: "We have no comment on potential security precautions, but will provide any update as appropriate."

AQAP has been actively trying to build bombs that contain little or no metal content to target commercial aircraft, the CNN report added. And the group's chief bomb maker, Ibrahim al-Asiri, has trained others to do so.

Post demonetisation, the delinquencies in microfinance institutions (MFI) loan books are rising. Ratings agency ICRA recently downgraded its outlook on two prominent MFIs to negative from stable, mainly due to limited currency supply and disruption in borrower cash flows, which hampered overall the collection efficiency of these lenders.

ICRA downgraded to negative from stable its outlook on Janalakshmi Financial Services Ltd (JFSL), which has a presence in 222 cities across 17 states and two Union Territories. Janalakshmi has asset under management of Rs12,416 crore and had registered a high compound growth of 130% over the past four years. The Total Investment & Insurance Solutions

"The revision in outlook factors in the adverse impact of demonetisation on JFSL’s asset quality, where overall collections efficiency is affected by the limited currency supply, disruption in borrower cash flows, and political intervention in certain states, namely, Uttar Pradesh, Maharashtra and Madhya Pradesh. The company’s collection efficiency dipped to 78% in January 2017, from about 98% in September 2016. The company’s disbursements were also impacted because of the limited availability of currency; thus, the disbursements moderated to about 55% (November 2016), 31% (December 2016) and 60% (January 2017) of its average disbursements for seven months of FY2017," the ratings agency says.

Similarly, ICRA cut its outlook on Satin Creditcare Network Ltd’s (SCNL) debentures, to negative from stable, citing elevated financial risk profile post demonetisation that reflects in the lender's deteriorating asset quality. In a statement, the ratings agency says, "Collection efficiency in SCNL’s loan portfolio dropped to 78% for the period November 2016 to February 2017 from over 99% (pre-demonetisation). The dip in collection performance was due to limited currency supply, disruption in borrowers’ cash flows and political intervention in certain districts of Uttar Pradesh, Madhya Pradesh and Maharashtra." However, ICRA found improvement in SCNL's collection efficiency during February. "The collection efficiency in February was at 89.6 per cent. But a significant recovery from overdue loans, especially 60 days past due (dpd) could be protracted due to the marginal borrower profile and the unsecured nature of the microfinance loans."


Earlier in January, the ratings agency had stated that it sees a substantial drop in MFI profits during FY2017-18, mainly due to rise in credit and operating costs and fall in collections. "The Rs55,000 crore sector (MFIs and non-bank finance companies) had displayed strong asset quality till recently," said ICRA, "with the share of overdue loans lower than one per cent as on 30 September 2016. Indian Equity Markets ended lower on Monday after a three day rally as investors chose to book profits caused by the rally in the previous week. The key indices ended in red as the software services exporters worried over strong rupee and a slowdown in business. Shares of IT companies plunged on reports that Cognizant may reduce at least 10,000 jobs, representing 5% of its total workforce, as the company looks to shift its focus from traditional IT services to digital. The rupee strengthened slightly to 65.4124/4150 per dollar, close to the near 17-month high of 65.2250 hit last week.

The shares of Idea Cellular fell by 11% on BSE after the announcement of the board approving the merger with Vodafone’s Indian operations, reversing the earlier gains of 14.25%. This decline was observed because the investors thought that the deal values the stock of the company much lower than the current market price; the promoters however rejected the valuation rumours. The markets, on an overall level, remained positive on hope for additional economic reforms from the government. A government official has said that the Modi Cabinet has approved four bills to implement a planned Goods and Services Tax (GST); the landmark tax will be implement from July 1. The IT sector accounted for around 50% of the losses on the CNX Nifty index, led by TCS falling by 1.97% and Infosys 1.92%.  In one of the biggest merger in the telecom space, Vodafone India and Aditya Birla Group-promoted Idea Cellular on Monday announced the much-awaited amalgamation.

Idea Cellular in a regulatory filing on Monday said, its Board of Directors "have approved the scheme of amalgamation of Vodafone India Limited and its wholly owned subsidiary Vodafone Mobile Service Limited with the company (Idea)." The Total Investment & Insurance Solutions

Vodafone will own 45.1 per cent of the combined company, Idea said in a statement.

Telecom sector slipped, with Idea Cellular's stocks plunging by almost ten per cent on Monday -- a day of major merger announcements in the telecom space.

At closing, the scrip of the telecom major was down by 9.55 per cent to Rs 97.60 per share at the BSE, emerging as the worst loser of the day. The Total Investment & Insurance Solutions

Overall, the S&P BSE telecom index, which opened at 1,268.30 points, closed at 1,251.19 -- down 13.99 points or 1.11 per cent. The Total Investment & Insurance Solutions

In one of the biggest mergers in the telecom space, Vodafone India and Aditya Birla Group-promoted Idea Cellular announced the much-awaited amalgamation, following which Vodafone will hold 45.1 per cent in the combined company.

"The market did not take the news (of Idea Cellular merger with Vodafone India) well with Idea shares losing 10 per cent in value and closing the day at Rs 97.60. Analysts were unhappy with the structure of the deal as the joint entity will continue to have high debt levels," Vijay Singhania, Founder and Director of brokerage firm Trade Smart Online, told IANS.

"The merger is not witnessing any cash inflows from either companies. Besides, the deal price is around the current price of joint entity as reported in the exchange disclosure. This leaves little room for appreciation," Singhania noted. The Total Investment & Insurance Solutions

Major U.S. indexes are little changed in early trading Monday as technology companies gain but energy and bank stocks fall. KEEPING SCORE: The Standard & Poor's 500 index was up a fraction at 2,378 as of 10:27 a.m. Eastern time. The Dow Jones industrial average rose 22 points, or 0.1 percent, to 20,937. BRITAIN MUST BE GOING: Britain's government said it will trigger the process of leaving the EU on March 29. That will start a long negotiation between Britain and the EU, with uncertain effects for banks and other companies. The country is expected to officially leave the union in early 2019.

ENERGY: Benchmark U.S. crude declined 39 cents to $48.39 per barrel in New York, while Brent crude, used to price international oils, lost 16 cents to $51.60 a barrel in London.

UK-based retail chain Marks and Spencer on Monday became the latest firm to pull its online advertising from Google platforms over fears it is appearing next to extremist content.

It follows a UK government decision to remove its adverts from YouTube -- which is owned by Google -- after it emerged they had appeared alongside content from supporters of extremist groups, the BBC reported. The Total Investment & Insurance Solutions

RBS, Lloyds and HSBC also announced similar moves over the weekend.

Google has said it does not always "get it right" and will improve.

An ad appearing alongside a video earns the poster about 6 pounds ($8) for every 1,000 clicks it generates, meaning brands may have unwittingly contributed money to extremists.
