Nifty, Sensex may go down further: Thursday closing report-The Total Investment & Insurance Solutions

I had mentioned in Wednesday’s closing report that Nifty, Sensex could be headed lower. Today the Nifty hit a lower low in the intraday session and closed 0.35% below yesterday’s close. The indices although opened lower it surged immediately from the negative to the positive zone and managed staying in the green up to 11.20 am. However thereafter it moved in a range close to yesterday’s close. In the last hour of the trading session the indices lost all its strength and fell below the level from where it began today’s session. S&P BSE Sensex fell 84 points or 0.31% to close at 26,519 while Nifty 50 lost 29 points or 0.35% to close at 8,154.

Asian stocks declined as a result of US Federal Reserve raising interest rates in the US on 14 December 2016. European indices were trading higher. Investors eyed the Bank of England's monetary policy decision due later in the trading session. The Federal Reserve raised its key short-term rate yesterday, 14 December 2016, on the expected lines, but it also forecast three rate increases in 2017, compared with the two that had been anticipated at its previous meeting in September. IT stocks were the biggest gainers of the day, pushing S&P BSE Information Technology index to 9,977. In the midcap and smallcap segments, the S&P BSE Midcap index closed at 12,240 with JSW Energy being the top gainer and Nalco the worst laggard. The S&P BSE Smallcap index closed 0.21 per cent higher at 12,143. The India VIX (Volatility) index was down 5.65% at 15.6. Out of 1470 stocks traded on the NSE, 701 declined and 697 advanced today. Sun Pharma was the biggest loser among Sensex 30 stocks, down 4.36%. Recently it was in news for the USFDA issuing a Form-483. The USFDA inspected the Company's Halol facility in Gujarat, India from November 17, 2016 through December 1, 2016. At the conclusion of the inspection, the USFDA issued a Form-483, citing nine inspectional observations. None of those observations were characterized by the USFDA as repeat observations.

Hong Kong stocks slumped to a four-month low. The benchmark Hang Seng index extended early losses to end 1.8 per cent lower at 22,059. The Hong Kong China Enterprises Index lost 2.3 per cent to 9,479.  However, Japan's Nikkei ended marginally up. The Nikkei share average rose 0.1 per cent to 19,273 after dipping into the negative territory. European stocks opened higher.

Banks told to incentive digital payments, transactions-The Total Investment & Insurance Solutions

As part of the Digital India campaign and to promote cashless transactions across the country, Union Electronics and IT Minister Ravi Shankar Prasad on Tuesday urged banks to incentivise digital payments. The Total Investment & Insurance Solutions

"I urge banks to incentivise digital payments and transactions to bring more people into the digital fold," said Prasad at a meeting with representatives from the Reserve Bank of India, the State Bank of India, the National Payments Corporation of India, the Financial Services department and the CERT-In (Indian Computer Emergency Response Team).

"The ministry is taking initiatives to offer better technology products and user friendliness to inform, educate and enable citizens on digital transactions," he said.

Exhorting state-run and private sector banks to become change agents of Digital India, the minister said uniform branding would help create awareness in the public on availability of digital transactions with merchants. The Total Investment & Insurance Solutions

"Digital payments need to be made convenient and flawless. Banks should adopt villages and promote digital inclusion through greater awareness in hamlets where majority tribal population live," he said. The Total Investment & Insurance Solutions

He also urged the banks to identify large mandis to encourage adoption of digital transactions in line with the government's priority to promote digital payment transactions.

The NPCI will soon launch a redesigned USSD (Unstructured Supplementary Service Data) platform and a common app to enable digital transactions and address inter-operability issues.

Old Rs 500 notes' use ends at midnight of Dec 15, not Dec 14: Ministry -The Total Investment & Insurance Solutions

Exemptions provided for the use of old Rs 500 notes will come to an end at the midnight of December 15, or Thursday, not December 14 as a section of media claimed, the Finance Ministry said on Wednesday.

"Exemptions for use of old Rs 500 notes will end on 15 Dec midnight. Sections of media reporting wrongly as if it's tonight (December 14)," Economic Affairs Secretary Shaktikanta Das said in a tweet on Wednesday. The Total Investment & Insurance Solutions

The government had earlier permitted various exemptions for certain transactions and activities wherein payment could be made through the old Rs 500 currency notes till December 15. 

The usage of old Rs 500 notes at railway ticketing counters, to buy tickets of government or public sector undertaking buses and to pay catering services on board during travel by rail was discontinued from December 10 midnight. The Total Investment & Insurance Solutions

Exemption for old notes for purchase of air tickets, petrol, diesel and gas at stations of state-run oil companies had come to an end on December 2. The payment at toll plaza in demonetised currency was also withdrawn earlier. The Total Investment & Insurance Solutions

After Thursday midnight, Rs 500 notes would no longer be allowed to be used for the list of exemptions the government had announced. However, the demonetised Rs 500 and Rs 1,000 notes can be deposited in bank accounts till December 30. The Total Investment & Insurance Solutions

The government demonetised Rs 1,000 and Rs 500 currency notes on November 8.

Following is a list of areas where the concession to use the denotified Rs 500 notes is applicable till Thursday midnight:

- Payment of fees up to Rs 2,000 per student in central and state government colleges as well as central government, state government, municipality and local body schools.

- Payments towards pre-paid mobile to a limit of Rs 500 per top-up.

- Purchase from consumer cooperative stores limited to Rs 5,000 at a time.

- Payment of current and arrear dues of water and electricity utility bills for individuals and households.

- Foreigners can exchange foreign currency up to Rs 5,000 per week. Necessary entry to this effect made in their passports.

- For payments in government hospitals for medical treatment.

- For use in all pharmacies for buying medicines with doctor's prescription.

- For purchases at government-run milk booths.

- For payments at crematoria and burial grounds.

- For use at international airports for arriving and departing passengers up to Rs 5,000.

- For purchase of LPG gas cylinders.

- For purchase of entry tickets at monument maintained by the Archaeological Survey of India.

- For payments towards fees, charges, taxes or penalties, payable to central or state governments, including municipal and local bodies. The Total Investment & Insurance Solutions

Nusli Wadia, Chairman of the Wadia Group, has raised serious question on financial and strategic information sought by the Board of Tata Sons and Ratan Tata as Trustee of Tata Trusts, which he says 'could be regarded as violation of the insider trading regulations'. Mr Wadia, who is Independent Director on the Board of Tata Motors, also called Mr Tata's pet project, the 'Nano' as serious drain on the company's financial resources.

In a letter to shareholders of Tata Motors, Mr Wadia says, "I believe that Mr Tata and the Board of Tata Sons even post notification of the insider trading regulation (15 January 2015) sought access to information and documents of Tata Steel, Tata Motors and other Tata companies. It is alleged that in addition, they have demanded that the senior members of the management brief them and make presentations to them on various business proposals and activities from time to time." According to Mr Wadia, on 24 February 2015, Tata Sons' Chief Legal and Group General Counsel, Bharat Vasani sought advice from a senior counsel for passing of a resolution by the Board of Directors of Tata listed companies to enable them to authorise the managements to pass on or present financial information or strategic presentations to the Board of Directors of Tata Sons. "I believe that this opinion was sought at the insistence of Mr Ratan Tata and Mr Soonawala, Trustees of the Tata Trust. The opinion was obtained by Tata Sons in June 2015 and sent to me by Mr Vasani in February 2016 to persuade me to agree and be a party to the resolution to provide information outlined in the opinion to be passed by the Boards of the companies where I serve as an Independent Director, including Tata Motors. I did not agree with the Counsel's advice and no Board resolution was presented to or passed by the Board of Tata Steel," he added.

Tata Motors has called for an extraordinary general meeting (EGM) to remove Cyrus P Mistry and Mr Wadia as Directors from the company Board. The Independent Directors of Tata Motors, through their meeting on 14 November 2016, emphasised on the collective responsibility of the Board by stating all decisions taken by the Board with regards to strategy, operations and business have been unanimous and executed by Chairman and Management accordingly.

Bengaluru-based InGovern Research Services, which provides proxy voting advisory has recommended to vote against the proposal to remove both Mr Mistry and Mr Wadia as Directors of Tata Motors. Especially talking about the removal of Mr Wadia, the proxy voting advisory has said, "Tata Sons proposes his removal not because of his long tenure but because he has expressed an opinion in Tata Motors that is contrary to theirs. By stating that he is acting in concert with Mr. Mistry, Tata Sons has challenged the position of the Independence Directors. Promoters removing Independent Directors who do not agree with their views also sets a bad precedent for Indian corporate governance. In case Tata Sons believes that Mr Wadia’s independence has been affected, it should also propose removal of all the Independent Directors of these companies with longer tenures." Nano is a drain on Tata Motors
In his letter, Mr Wadia has also highlighted poor performance of Tata Nano, which according to him 'is a serious drain on the finance of the company, in addition to creating a very negative image of Tata Motors' passenger vehicle business (PVB)'. "Even at a price of Rs2.25 lakh, the car neither sells nor is viable as every sale of the vehicle is at a substantial loss to the Company. After its commercial failure which became evident not too long after its launch, I differed strongly in its continued operations and funding. Huge losses have been incurred over the years. The plan on which the investment was made was for 250,000 cars while the production in the year 2015-16 was in the region of 20,000 cars and presently far less. The delay in the closure of NANO is a serious drain on the finances of the Company. The investment and losses on NANO have been in thousands of crores rupees. Concerns have been raised not only by me but by several others regarding the continuing operation," Mr Wadia says.

Sell unproductive stake in group companies
The Wadia group chief also suggested Tata Motors to sell its stake worth Rs8,600 crore in non-listed companies like Tata Sons, Tata Projects, Tata Industries, Tata Services, Tata International and Tata Capital as well as listed units like Tata Chemicals and Tata Steel. "Including current value of the listed shares at about Rs200 crore, the stake of Tata Motors goes to Rs8,800 crore. These cross holdings are being maintained in a debt ridden company only to indirectly keep the voting rights and control in Tata Sons. The figure across all the listed companies holdings in Tata Sons is round 14% of its capital amounting to about Rs70,000 crore and is being maintained only to shore up the voting rights of the Tata Trusts."

Advising shareholders to get rid of this unproductive shareholding, Mr Wadia, says, "It is for you the shareholders who own around 70% of the company to decide as to whether it is in your best interest to hold the shares worth Rs8,800 crore with no return or to disinvest, and pay off an equivalent debt and save interest of about Rs800 crore, thereby improving the profit of the company by the same amount." Ratan Tata's behaviour 'inappropriate'
Mr Wadia has been on Board of Tata Motors since 1998, or for over 18 years. He says, over the years, as an Independent Director, he has expressed his views and differed with several proposals during the time of Mr Tata's Chairmanship. The Wadia group chief also raises serious questions on the meeting between union leaders from Tata Motors' Pune plant and Mr Tata. "Following that meeting the Union decided to take an adverse stand with regard to the Management. The Board was further informed that a letter had been addressed to the Managing Director on the 11th November in which it was stated that '...The employees of Tata Motors Pune Plant have been deeply concerned over the rift between Tata Sons and the leadership of Tata Group companies. Moreover, the once cordial relation between the Tata Motors Pune Plant management and the employees has taken a downward turn since last 14 months over various negotiable issues. However, during this time of turmoil we reiterate our complete and dedicated commitment to the decision taken by Mr Ratan Tata over the change in the leadership of Tata Sons Ltd...'." Mr Wadia says, "A Memorandum was also handed over by the leaders on the same day to Mr Tata. An Agreement that was initialled with the union after 14 months of discussion and negotiation where for the first time in the history of Tata Motors Pune a productivity linked settlement was initialled and to be signed. It is now a matter of conjecture as to whether this agreement will be signed or not. These actions on the part of Mr Tata 'by galvanizing' the union and 'acting prejudicially against the interest of your company may put the company and its future in great jeopardy and impact the overall moral of the workers, employees and management of Tata Motors'." The Indian National Bank Employees' Federation (INBEF) has alleged that private sector banks were supplied with abundant new currency notes compared with public sector banks (PSBs), which would have been used for money laundering. The Total Investment & Insurance Solutions

INBEF, in a letter to Dr Urjit Patel, Governor of the Reserve Bank of India (RBI) says, "If we take into consideration the total number of branches of HDFC Bank, Axis Bank and ICICI Bank, there are around 12,100 branches of them in India (4,541 of HDFC Bank, 4,450 of ICICI Bank and 3,120 of Axis Bank). The number of branches of PSBs across the country is 86,958. However, these three private sector banks are supplied with abundant new currency to enable money laundering." The bank employees' union also cited an example from Tamil Nadu, where there PSBs have around 9,000 bank branches compared with 900 branches of the three private sector banks. "These private sector banks (900 branches) were given Rs6,100 crore (Rs6.7 crore per branch), while the PSBs received just Rs7,800 crore or Rs86 lakh per branch. How could RBI do this when lakhs of customers of PSBs were standing in long queues and also the helpless staff of PSBs was thrown to face the public anger. The same situation is almost in all states. The domestic equity market slipped into the red on Wednesday as investors remained cautious ahead of the outcome of the FOMC meeting. The 30-share BSE Sensex was down 94.98 points at 26602.84 and the 50-share NSE Nifty fell 39.35 points to 8182.45. The broader markets also lost shine in last couple hours of trade, with the BSE Midcap and Smallcap indices falling 0.8 percent each on weak breadth. The US central bank is widely expected to raise interest rates by 25-50 bps, fear of which dented investor sentiments across global markets. Any hint that the Fed may move more aggressively would likely send the dollar higher and jolt emerging markets. Wholesale inflation rate in November moderated to 3.15 percent from 3.39 percent in October as cash crunch has depressed the consumer demand. Retain CCTV footage from Nov 8-Dec 30: RBI to banks -The Total Investment & Insurance Solutions

The Reserve Bank of India on Tuesday asked banks to retain their CCTV recordings of branch operations and currency chests between November 8 and December 30, to deal with any unlawful activities. The Total Investment & Insurance Solutions

"The banks are advised to preserve CCTV recordings of operations at bank branches and currency chests for the period from November 8 to December 30, 2016, until further instructions," the RBI said in a statement. The Total Investment & Insurance Solutions

It said this was necessary "to facilitate coordinated and effective action by the enforcement agencies in dealing with matters relating to illegal accumulation of new currency notes". The Total Investment & Insurance Solutions

The apex bank had earlier issued a notification on October 27, prior to demonetisation, asking the banks to cover the banking hall/area and counters under CCTV surveillance and record to facilitate identification of people abetting circulation of counterfeit notes.
